Partner Program Terms

These Terms define the rules of participation in the **Klubownik Partner Program** (hereinafter: "Program"), operated by **Michał Szymanowski conducting business activity under the trade name Klubownik** (hereinafter: "Operator" or "Organizer").

The Program is part of the Klubownik.pl service ("Service") and is governed by the general [Terms of Service](/regulamin) and [Privacy Policy](/privacy). These Terms regulate only the specific rules of the Program.

Participation in the Program is free and voluntary. Joining the Program requires acceptance of these Terms.

For the purposes of these Terms, the following definitions apply:

**Partner** — natural person conducting business activity or a legal entity accepted by the Operator and granted a unique Partner Code.

**Application** — registration form for the Program submitted on klubownik.pl, subject to manual review.

**Partner Code** — unique string assigned to the Partner, manually generated after approving the Application. Format: 4–32 characters, uppercase, digits, "-" or "_".

**Partner Link** — URL in the format "https://app.klubownik.pl/partner/<CODE>", used by the Partner to refer the Service.

**Referred Club** — a club whose founder registered after clicking the Partner Link (attribution via "partner_ref_code" cookie valid for 30 days).

**Active Referral** — a Referred Club whose subscription has "active" or "trialing" status at the time commission is calculated.

**Tier 1 (First threshold)** — bonus mechanism: every Referral activated by the first paid subscription results in 1 free month for both parties.

**Tier 2 (Second threshold)** — commission mechanism: when the Partner has at least 3 Active Referrals, every subsequent monthly subscription payment generates a 10% commission.

**Commission** — 10% of the net monthly subscription of the Referred Club (excluding VAT and add-ons).

**Subscription Credit** — settlement form: number of full free months added to the Partner subscription billing period (formula: floor(total_commission / partner_plan_price)). The remainder carries over.

**Credit Bank** — balance of free months stored for Partners without an active subscription. Credits are automatically consumed when the subscription is activated.

**Attribution** — process of assigning a newly registered club to a Partner, based solely on the "partner_ref_code" cookie.

To become a Partner: - fill out the form at [klubownik.pl/#partner-program](/#partner-program), - provide truthful and complete contact details, - accept these Terms and consent to data processing, - pass manual verification (up to 2 business days).

The Operator reserves the right to **reject an Application without giving a detailed reason**, in particular in case of: - inconsistent or incomplete data, - lack of a credible professional/industry profile, - conducting activity competing with the Operator, - prior violation of regulations by the Applicant.

Upon positive verification, the Partner receives a unique Partner Code and Partner Link via email.

The following may not become a Partner: - minor (under 18), - employee or contractor of the Operator (unless individually approved), - entity that would refer itself (no self-referral — see §10).

**Tier 1 mechanism:** every Referral registered through the Partner Link and activated by the first paid subscription results in 1 free month for both the Partner and the Referred Club.

**Conditions:** - new club registered with active "partner_ref_code" cookie (30 days), - Referred Club paid its first subscription ("subscription_create" in Stripe), - no self-referral.

**Bonus delivery:** - Referred Club: 1 month added automatically to "current_period_end", - Partner with active subscription: 1 month added to "current_period_end", - Partner without active subscription: 1 month goes to Credit Bank and is consumed when subscription is activated.

**Exclusions:** - The bonus is not awarded to Partners exempt from payment. - In case of refund/cancellation within 14 days, the Operator may revoke the Tier 1 bonus from both parties.

**Tier 2 mechanism:** when the Partner has at least **3 Active Referrals**, every monthly paid subscription ("subscription_cycle" in Stripe) generates a 10% commission.

**Calculation:** - base: net monthly subscription amount (excl. VAT, excl. add-ons), - commission rate: **10%**, - accrual: monthly from threshold hit, - idempotency: one commission per Stripe invoice per Referral.

**The 3-club threshold is dynamic:** the count of active Referrals is checked at the time of each monthly billing. If the count drops below 3, commission ceases until the threshold is exceeded again.

**Exclusions:** - not accrued from "subscription_create" invoices (Tier 1), - not accrued from one-time invoices, add-ons or in-club payments, - not accrued from subscriptions exempt from payment.

**Refunds and chargebacks:** the Operator may mark the commission as "reversed" and reduce the Partner balance.

**Payout form:** commissions are settled exclusively as **Subscription Credit**. **The Operator does not pay commissions in monetary form in the current version.**

**Frequency:** once a month the Operator aggregates pending commissions per Partner and converts to full free months:

> months = floor(total_commission_PLN / partner_plan_price_PLN)

**The remainder** carries over to the next billing period.

**Credit application:** - Partner with active subscription: full months added to "current_period_end", - Partner without active subscription: full months added to the Credit Bank.

**Partner plan price:** based on the current monthly price. Fallback: **179 PLN** (Standard plan).

**Change of payout form:** the Operator reserves the right to introduce additional payout forms (bank transfer) with 30 days notice. In such case, the Partner will be required to issue a VAT invoice.

**No invoicing in the current version:** since the Subscription Credit is a commercial discount (not monetary remuneration), the Partner does not issue any invoice. The Operator documents the granted discount on the Partner platform invoices.

**Attribution** is based solely on the "partner_ref_code" cookie set after clicking the Partner Link.

**Cookie parameters:** - name: "partner_ref_code", - value: Partner Code (uppercase), - lifetime: 30 days from last click, - "sameSite=lax", "httpOnly=false" (readable client-side for analytics).

**Attribution rules:** - **first-touch** wins, - clicking a different Partner Link **overwrites the cookie** (last-click wins within 30-day validity), - after successful attribution the cookie is deleted (one-shot per club), - without a cookie at registration — no attribution occurs.

**Technical limitations:** - a user blocking cookies will not be attributed, - a user using incognito mode after session expires will not be attributed, - attribution works within a single profile/browser only.

The Operator is not liable for missing attribution caused by browser settings, cookie-blocking software, or device/browser changes.

The following actions are **prohibited** and may result in exclusion from the Program:

1. **Self-referral**. 2. **Artificial referrals** (bots, fake clubs). 3. **Brand bidding** on keywords containing "Klubownik". 4. **Spam** in violation of e-services and GDPR law. 5. **Misrepresentation**. 6. **Violation of the general Terms or Privacy Policy.**

The Operator may: - deactivate the Partner Code, - mark commissions as "reversed", - remove Referred Clubs from the Partner attribution, - demand return of used Subscription Credits in kind, - fully exclude the Partner from the Program.

The Operator reserves the right to manually verify referral patterns at any time.

**Duration:** the Program runs indefinitely until revoked.

**Termination by Partner:** the Partner may withdraw at any time by sending a statement to contact@klubownik.pl. After withdrawal: the Partner Code is deactivated, active referrals remain for archival and settlement purposes, unpaid pending commissions are settled in the next billing cycle.

**Termination by Operator:** with 14 days notice (or immediately in case of violations under §10).

**Changes to these Terms:** commission rate, threshold, payout form, cookie lifetime, tax settlement. Changes are communicated to Partners by email with at least 14 days notice.

**Program closure:** the Operator may close the Program with 60 days notice. All accrued unpaid commissions will be settled in the final billing cycle.

**Data Controller:** Michał Szymanowski conducting business activity under the trade name Klubownik.

**GDPR contact:** iod@klubownik.pl

**Scope:** data provided in the application form, plus technical data (IP, user-agent, timestamps, Partner Link clicks).

**Purposes and legal bases:** - application verification and Partner account — Art. 6(1)(b) GDPR (contract), - commission accrual, settlement, audit — Art. 6(1)(b) and (c) GDPR (accounting/tax obligations), - claims defense — Art. 6(1)(f) (legitimate interest), - marketing related to the Program — Art. 6(1)(f); you may object at any time.

**Retention:** - active Partners — for the duration + 6 years (Polish accounting documentation period), - rejected applicants — 12 months, - technical data — 24 months.

**Recipients:** IT providers (Supabase, Vercel, Resend), payment providers (Stripe), accounting (on demand), state authorities (lawful demand).

**Partner rights:** access, rectification, erasure (subject to retention), restriction, portability, objection, complaint to the Polish Data Protection Authority.

**No automated decision-making with legal effect.**

Complaints concerning the Program may be submitted: - by email to contact@klubownik.pl, - in writing to ul. Chodzieska 29, 64-920 Piła, Poland.

**The complaint should contain:** Partner name, Partner Code, description and justification, requested remedy.

**Response time:** 14 business days. The Operator notifies the Partner of the resolution by email.

In case of rejection or lack of agreement, Partners who are Consumers may use out-of-court dispute resolution (ODR https://ec.europa.eu/consumers/odr/).

**Governing law:** Polish law. Jurisdiction: courts competent for the Operator place of business (Piła, Poland).

**Severability:** if any provision is held invalid, the remaining provisions remain in force.

**Language:** the Polish version of these Terms prevails. The English version is for information only.
